Terms of Service.

1. Acceptance of terms

These Terms of Service (the "Terms") form a binding agreement between RocketDeal Technologies Pvt. Ltd. ("RocketDeal", "we", "us", "our") and you, the business or individual representing a business that uses the RocketDeal website or mobile application (collectively, the "Platform"). By creating an account, placing a bid, claiming a deal or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy.

2. Eligibility & verification

• You must be at least 18 years old, of sound mind, and legally able to enter into binding contracts under Indian law.
• The Platform is restricted to verified businesses (companies, LLPs, partnerships, proprietorships and registered traders) that hold a valid GST registration where applicable.
• You agree to provide accurate KYC information including PAN, GSTIN, certificate of incorporation, bank account details and authorised-signatory ID, and to keep this information current.
• RocketDeal may refuse, limit or revoke access at its sole discretion if verification fails or if we reasonably suspect misrepresentation.

3. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorised access or suspected breach. Accounts are personal to your business — they may not be sold, transferred or shared with third parties.

4. RocketDeal's role

RocketDeal operates a sourcing marketplace and intermediary platform. Sales contracts are formed directly between the seller of inventory and the buyer (you, when bidding or claiming). RocketDeal facilitates listing, bidding, payment processing, manifest verification and logistics coordination but is not the seller of the goods unless explicitly stated. We are an "intermediary" within the meaning of Section 2(1)(w) of the Information Technology Act, 2000.

5. Listings, auctions & flash deals

• Sellers list inventory in the form of single units, pallets or lots, with manifests, photos, condition grades and minimum bid prices.
• Auctions run for a fixed duration; the highest valid bid at close wins, subject to any reserve price.
• Flash deals are first-come-first-served at a fixed price for a limited time.
• RocketDeal may, in its discretion, withdraw, extend, suspend or cancel a listing if it suspects fraud, manifest discrepancy, technical error or violation of these Terms.

6. Bids & binding offers

• Every bid you place is a binding, irrevocable offer to purchase the listed lot at the bid price, subject to these Terms.
• If you are the highest valid bidder at auction close (or the first to claim a flash deal), you are obligated to complete the purchase at the published price plus applicable fees and taxes.
• Failure to honour a winning bid may result in suspension, forfeiture of any deposit, recovery of damages and a permanent ban from the Platform.

7. Payments, fees & taxes

• All amounts on the Platform are in Indian Rupees (INR / ₹) unless otherwise stated.
• Buyers must pay the winning bid amount, RocketDeal facilitation fees, applicable GST and any logistics charges through approved payment methods within the timeframe stated at checkout.
• RocketDeal uses PCI-DSS compliant payment processors (including Cashfree). We do not store full card details.
• Funds may be held in escrow until the lot is delivered and accepted, after which they are released to the seller net of platform fees.
• You are responsible for all taxes, duties, levies and statutory deductions applicable to your purchases. Tax invoices will be issued in compliance with GST e-invoicing rules.

8. Shipping, delivery & manifests

• Sellers are responsible for packing and handing over the inventory to the assigned logistics partner; RocketDeal coordinates dispatch and tracking.
• Title and risk of loss pass to the buyer on delivery to the buyer's nominated address (or designated agent), except for losses covered by transit insurance arranged by RocketDeal.
• Manifest discrepancies must be reported within 48 hours of delivery and will be investigated under Section 9.

9. Claims, returns & refunds

• Buyers may file a claim through the Platform within 48 hours of delivery for short shipment, manifest mismatch beyond stated tolerance, or materially defective stock.
• RocketDeal will mediate the claim with the seller. Resolutions may include partial refund, replacement, return at seller's cost, or full refund — at RocketDeal's reasonable determination.
• Claims arising from buyer error, mishandling after delivery, or condition variations within the disclosed grade are not eligible.
• Approved refunds are processed to the original payment instrument within 7–10 business days.

10. Acceptable use

You agree not to:

• Use the Platform for any unlawful purpose, including the sale of prohibited or counterfeit goods
• Manipulate auctions through shill bidding, collusion, automated tools, or coordinated bid-pulling
• Impersonate any person or business or misrepresent your affiliation
• Reverse engineer, scrape, or interfere with the operation of the Platform
• Upload viruses, malware or any code designed to disrupt the Platform
• Resell access to the Platform or transfer your account to another party

11. Intellectual property

The Platform, its software, branding (including the RocketDeal name and logo), text, graphics and compilation of content are owned by or licensed to RocketDeal and protected by Indian and international intellectual-property laws. You receive a limited, non-exclusive, non-transferable, revocable licence to access the Platform for your authorised business use only. Content you upload (listing details, manifests, images) remains yours, but you grant RocketDeal a worldwide, royalty-free licence to host, display and distribute it on the Platform for the purposes described in these Terms.

12. Privacy

Our handling of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Suspension & termination

We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or pose a risk to other users of the Platform. You may close your account at any time by writing to us; certain obligations (payment of outstanding amounts, indemnity, dispute resolution) survive termination.

14. Disclaimers

Except as expressly stated, the Platform is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied. RocketDeal does not warrant that the Platform will be uninterrupted, error-free, or that listings will meet your expectations. Inventory is described by the seller; while we verify manifests on a sample basis, RocketDeal does not warrant the merchantability or fitness of any particular lot beyond what is expressly stated in the listing.

15. Limitation of liability

To the maximum extent permitted by law, RocketDeal's aggregate liability arising out of or related to your use of the Platform — whether in contract, tort or otherwise — shall not exceed the total fees paid by you to RocketDeal in the three (3) months immediately preceding the event giving rise to the claim. RocketDeal will not be liable for any indirect, incidental, consequential, special or exemplary damages, including lost profits, lost goodwill or business interruption.

16. Indemnity

You agree to indemnify and hold harmless RocketDeal, its directors, officers, employees and agents from any claim, demand, loss or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law, your infringement of any third-party right, or any content you submit to the Platform.

17. Force majeure

RocketDeal is not liable for any delay or failure to perform caused by events beyond its reasonable control — including acts of God, government actions, natural disasters, epidemics, internet outages, cyber-attacks, strikes or war.

18. Governing law & disputes

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably between the parties. If not resolved within thirty (30) days, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, with the seat and venue at Pune, Maharashtra, and the proceedings conducted in English. Subject to arbitration, courts at Pune shall have exclusive jurisdiction.

19. Changes to these terms

We may update these Terms from time to time. Material changes will be notified through the Platform or by email. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
